Exit Planning & Value Growth

Build a more valuable, more sellable business and exit on your terms, when you choose.

Most owners hold around 80% of their net worth inside their business, yet only a small fraction of businesses that go to market actually sell. The difference between a business that sells well and one that stalls is rarely luck — it is preparation. Our exit planning service helps you uncover what your business is really worth today, identify the value locked inside it, and lift that value steadily in the months and years before you sell. Whether your exit is three years away or ten, the work starts now, and it pays you back in stronger profit and a stronger sale price.

Why NZ Business Owners Trust JLBS to Grow and Protect Their Value

⌵ Brokers Who Sell Businesses Every Day

Our exit advice is grounded in live market reality, not theory. We see what buyers pay, what kills deals, and what lifts price, and we build your plan around it. That market intelligence is the difference between a tidy plan and a sale that actually closes.

⌵ A Clear, Staged Pathway

You always know where you are and what comes next. Our Value-Ready Pathway™ moves you through three plain-English stages; Discover, Strengthen, Decide – so progress is visible, measurable, and never overwhelming.

⌵ We Measure the Value Most Advisers Miss

Up to 80% of your business value sits in intangibles, which are; your people, customers, systems and culture. Your accountant’s balance sheet doesn’t capture these. We measure them, score them, and turn them into the value drivers’ buyers pay a premium for.

⌵ Progress in 90-Day Cycles

Big transformation fails; small, focused sprints succeed. We work in 90-Day Value Cycles™, including a short list of the right actions, in the right order, with clear accountability, so value compounds quarter on quarter and you see real results.

⌵ Confidential From First Call to Final Sale

Every conversation, financial and plan is handled with strict confidentiality. Your staff, customers and competitors learn nothing until you decide the time is right.

⌵ Aligned to Your Goals, Not a Template

Your exit is personal. We start with what you want your life to look like after the business, then build the financial and business plan to fund it.

The Problem: Owners Run Out of Time, and Take What They Can Get

Most owners only think about their exit when an event forces it; burnout, a health scare, an unexpected offer, a partner wanting out. By then the business isn’t ready, the owner isn’t ready, and value that took decades to build is left on the table or lost in a rushed, discounted sale. Waiting until you want to sell to start preparing is the single most expensive mistake an owner can make.

The Solution: Start Early, Build Value, Exit Strong

Exit planning is simply good business strategy with a destination attached. The same actions that make your business more valuable to a buyer make it more profitable and less stressful to own right now. We help you find your true value, close the gaps holding it back, and steadily lift it so when the day comes to sell, your business is ready, you are ready, and you capture the full reward for the years you’ve put in.

What Is a Exit Planning?

Exit planning is the process of preparing yourself, your finances, and your business well ahead of a sale or ownership transition, so you can leave on your terms and for the best possible value. It answers three questions every owner eventually faces: What is my business worth today? What could it be worth? And what do I need to do personally and in the business, to close that gap before I exit?

It is not a one-off document that sits in a drawer. Done well, it is a present-tense discipline you revisit every quarter, keeping your business sale-ready at all times, so you are never forced to sell unprepared.

Exit planning is also not a formal business valuation under any accounting or legal standard, and is not intended for tax, legal, or dispute purposes. It is a commercial, market-based process for building and unlocking value. Where a formal valuation is required, we will tell you and refer you appropriately.

The Value-Ready Pathway™

A clear, three-stage journey that takes the guesswork out of preparing your business for sale. You move through each stage at your own pace, and you can stop, grow, or sell whenever the time is right for you.

Stage 1 – Discover

Find out what your business is really worth — and what it could be worth

  • Complete the Value Discovery Audit™ — a structured review of you, your finances, and your business
  • Establish your present market value and your potential best-in-class value
  • Identify your Wealth Gap, Profit Gap and Value Gap, the three numbers most owners never see
  • Receive a prioritised action plan: the specific levers holding your value down

Stage 2 – Strengthen

Close the gaps and lift value through focused 90-Day Value Cycles™

  • De-risk first: remove the issues that scare buyers and discount price
  • Strengthen the Four Value Pillars — your people, customers, systems and culture
  • Align your personal and financial plan with your business plan
  • Re-score every cycle so you can see value growing, quarter by quarter

Stage 3 – Decide

Choose your moment — grow on, or go to market ready and confident

  • Revisit the grow-or-exit decision every 90 days, so you’re always ready
  • Confirm you are personally and financially ready to transition
  • Choose the right exit option, or hybrid, for your goals
  • Go to market sale-ready, with the proof buyers need to pay full value

The Value Discovery Audit™

Your starting point and your single most powerful planning tool. In a focused two-to-three-hour session with you (and any business partners or key managers), we assess your business from the outside in exactly the way a serious buyer will. Then we translate that into hard numbers and a clear list of actions.

What the audit reveals

  • Your present market value — what your business would likely sell for today
  • Your best-in-class value — what it could be worth if it performed at the top of your industry
  • Your Profit Gap — the profit you may be leaving on the table every year
  • Your Value Gap — the difference between today’s value and your potential value
  • Your Wealth Gap — whether selling today would actually fund the life you want next
  • A prioritised action plan — every value driver scoring below par, ready to work on

It works because it makes the invisible visible. Once an owner sees the gap between what their business is worth and what it could be worth, action becomes obvious — and usually urgent.

The Three Readiness Foundations

A successful exit stands on three legs. Weakness in anyone will reduce your price or stall your sale, so we assess and strengthen all three together.

Personal Readiness

  • What do you want your life to look like after the sale?
  • Do you have a clear next chapter and identity beyond the business?
  • How emotionally ready are you to let go?

We Business Readiness the Analysis

  • Can the business run and grow without you?
  • Are earnings defensible, documented and transferable?
  • How attractive is the business to a third-party buyer?

Financial Readiness

  • Will the sale proceeds fund the life you want (Your Wealth Gap.)
  • Is your personal and financial planning in place?
  • Are your numbers clean, recast and ready for buyer scrutiny?

Why all three matter
Owners getting cold feet is a leading reason deals collapse in due diligence.
Proving readiness, not just claiming it, is what protects your price.
We help you evidence all three, long before you go to market.

The Four Value Pillars

Around 70-80% of your business value is intangible and these four pillars are where it lives. Buyers pay a premium for businesses that are strong across all four, because they are lower-risk, more profitable, and more able to run without the owner. Strengthening them is the core work of Stage 2.

People · Your Team

  • The strength, depth and independence of your talent.
  • Can the business perform without you in the room?
  • Recruit, motivate, retain and grow the right people.?

Customer · Your Relationships

  • Deep, contractual, recurring, diversified customer relationships.
  • Low customer concentration; high “entanglement”.
  • Relationships owned by the business, not just by you.

Systems · Your Structure

  • Documented, transferable processes, IP and financials.
  • The “know-how” captured as company property, not in your head.
  • Systems that let the business scale and a buyer step in.

Culture · Your Operating Style

  • How your people communicate, decide and deliver.
  • A culture that is healthy, transferable and self-sustaining.
  • The pillar that multiplies the strength of the other three.

Ongoing Value Growth in 90-Day Value Cycles™

Stage 2 is where value is built, and it happens through short, focused 90-day cycles rather than one giant plan. Each cycle we agree a small number of high-impact actions, in the right order, with clear ownership and deadlines. At the end of each cycle we review progress, re-score your value, and set the next sprint. Value compounds. Momentum builds. Nothing overwhelms.

A typical cycle

  1. De-risk: tackle the issues that most threaten value or scare buyers
  2. Align: make sure your business and personal plans point the same way
  3. Improve efficiency: build the systems and capacity to scale
  4. Grow: pursue the strategic initiatives that lift earnings and multiple
  5. Re-score and report: measure the value gain, then set the next cycle

This is ongoing consulting with a purpose. Most owners stay in this rhythm for one to several years before they sell, and many find their business becomes so much stronger and more enjoyable to own that they choose to keep growing it. Either way, you win: more profit now, and a premium business when you decide to exit.

Why Plan The Exit Now?

If any of these sound like you, the best time to start is today:

  • You plan to sell or exit within the next 1–10 years
  • You want to know what your business is really worth, and how to lift it
  • Most of your net worth is tied up in your business
  • You’re planning for retirement, succession, or a family or management transition
  • You want the business to run without you, whether you sell or not
  • You’ve had an unsolicited offer and want to be ready to negotiate from strength
  • You want more profit and less stress while you still own the business
  • You never want to be forced to sell unprepared

Frequently Asked Questions

When should I start exit planning?

As early as possible — ideally three to ten years before you want to sell. The earlier you start, the more value you can build and the more options you keep. Even if you think you’ll never sell, the same work makes the business more profitable and less dependent on you today.

Is this a business valuation?

No. Exit planning includes an indicative, market-based view of value, but it is not a formal valuation under accounting or legal standards and isn’t intended for tax, legal or dispute purposes. Its purpose is to build and unlock value. If you need a formal valuation, we’ll point you in the right direction.

How is exit planning different from just selling my business?

Selling is the transaction at the end. Exit planning is everything you do beforehand to make sure that transaction delivers full value and actually closes. Owners who plan ahead consistently sell faster, for more, and with fewer surprises.

How long does the process take?

The Value Discovery Audit is completed within a few weeks. Strengthening value is ongoing — most owners work in 90-day cycles for one to several years before they sell, depending on the gap between today’s value and their goal.

What does it cost?

We scale the engagement to your business and goals — from an initial audit through to ongoing quarterly consulting. All pricing is quoted clearly upfront, with no obligation to continue.

Do I have to sell at the end?

Never. At every stage you decide whether to grow on or go to market. Many owners enjoy their stronger, more valuable business so much that they keep it longer — fully sale-ready, on their own terms.

Is everything confidential?

Completely. Every conversation, financial and plan is kept strictly confidential. Nothing is disclosed to staff, customers or competitors until you choose.
